1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Speakyboo, LLC, a Florida limited liability company ("Speakyboo," "we," "us," or "our"), governing your access to and use of the Speakyboo platform, website located at speakyboo.com, mobile applications, APIs, and all related services (collectively, the "Service").

By creating an account, clicking "Get started," accessing any portion of the Service, or otherwise indicating your acceptance, you affirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modification to these Terms constitutes your acceptance of the revised Terms. We reserve the right to update these Terms at any time, and we will provide notice of material changes through the Service or via email to the address associated with your account.

You must be at least 13 years of age to use the Service. If you are under the age of 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

Speakyboo is a voice dictation and AI-assisted transcription platform that enables users to speak naturally and receive polished, formatted written text. The core Service includes real-time voice capture via microphone, automatic speech recognition ("ASR") processing, AI-powered rewriting and formatting of raw transcripts, storage of completed transcripts in your account, and export capabilities to various file formats.

The Service processes audio through third-party AI infrastructure including Google Gemini API for language understanding and text refinement. Raw audio data is transmitted securely for processing and is not retained after transcription is complete. The resulting transcript text is stored in your account under our data retention policies described in Section 8 of these Terms and our Privacy Policy.

Speakyboo is designed as a productivity and writing tool. It is not a medical transcription service, a certified legal transcription service, or a substitute for professional human transcription where accuracy is mission-critical. We make no warranty that the Service meets any regulatory standards for healthcare, legal proceedings, or similar regulated industries.

We reserve the right to modify, enhance, suspend, or discontinue any feature or aspect of the Service at any time with or without notice. We will make commercially reasonable efforts to notify users of significant changes to core features.

3. Account Registration and Security

To access the full features of the Service, you must register for an account by providing a valid email address and completing our verification process. You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@speakyboo.com upon discovering any unauthorized use of your account or any other security breach. Speakyboo will not be liable for any loss or damage arising from your failure to comply with these security obligations.

You may not share your account credentials with any third party, create accounts through automated means, or use another user's account without permission. We reserve the right to terminate or suspend accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

We may require additional verification steps at any time to confirm your identity or payment information. Accounts that cannot be verified may be suspended pending resolution.

4. Subscription Plans, Billing, and Payments

4.1 Available Plans

Speakyboo offers the following subscription tiers, subject to change with advance notice:

Pro Plan — $20.00 per month: Designed for individual users and professionals. Includes a defined monthly transcription allowance, AI rewriting and formatting, standard storage, and email support.
Max Plan — $100.00 per month: Designed for power users, teams, and high-volume use cases. Includes expanded transcription limits, priority AI processing, increased storage, API access, and priority support.

Specific feature details, usage limits, and inclusions for each plan are described on our Pricing page at speakyboo.com/pricing and may be updated from time to time. The descriptions on that page are incorporated into these Terms by reference.

4.2 Add-On Products

Speakyboo may offer optional add-on products that supplement your base subscription. Available add-ons may include, without limitation: additional cloud storage capacity, expanded API access and rate limits, Team features enabling multi-user access and administration, and volume transcription packs. Add-ons are billed at the rates displayed at the time of purchase and are subject to these Terms in addition to any add-on-specific terms presented at checkout.

4.3 Billing and Renewals

Subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew on the same calendar date each month unless you cancel prior to the renewal date. By subscribing, you authorize Speakyboo and our payment processor to charge your designated payment method on a recurring basis for the applicable subscription fees plus any applicable taxes.

All fees are stated in United States Dollars (USD). We reserve the right to change our pricing at any time. If we change the price of your current plan, we will provide at least 30 days' advance notice via email before the new pricing takes effect on your account. Your continued use of the Service after the effective date of the price change constitutes your acceptance of the new pricing.

If a payment fails or is declined, we will attempt to retry the charge according to our payment processor's retry logic. If payment cannot be successfully collected within a reasonable period, we reserve the right to downgrade, suspend, or terminate your account. You remain responsible for all amounts owed during any suspension period.

4.4 Cancellations and Refunds

You may cancel your subscription at any time through your account settings or by contacting support@speakyboo.com. Cancellations take effect at the end of the then-current billing period. You will retain access to the Service through the end of your paid period. We do not provide prorated refunds for unused portions of a subscription period, except as required by applicable law or at our sole discretion.

Speakyboo does not offer a free trial unless explicitly stated on our website for a specific promotional period. Any promotional trial offers are subject to the specific terms disclosed at the time of the promotion.

If you believe you have been charged in error, you must contact us within 30 days of the charge at support@speakyboo.com. We will investigate and, if the charge was made in error, issue a correction. Chargebacks or payment disputes initiated without first contacting us may result in immediate suspension of your account pending resolution.

5. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all audio content you submit to the Service and all transcripts generated from your use.

You expressly agree not to use the Service to:

Record, transcribe, or process audio content of any person without their knowledge and consent where required by applicable law, including any applicable wiretapping, electronic surveillance, or recording consent laws;
Generate, distribute, or store content that is defamatory, obscene, abusive, threatening, harassing, hateful, or that constitutes or promotes illegal activity;
Infringe or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;
Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Service;
Access the Service through automated means, bots, scrapers, or crawlers not expressly authorized by Speakyboo;
Circumvent, disable, or interfere with security features of the Service;
Transmit viruses, malware, or any other malicious or harmful code;
Use the Service in a manner that places unreasonable load on our infrastructure or impairs the experience of other users;
Resell, sublicense, or commercially exploit the Service without our express written permission;
Violate any applicable federal, state, local, or international law or regulation.

We reserve the right to investigate suspected violations of these Terms and to take any action we deem appropriate, including removing content, suspending accounts, and cooperating with law enforcement authorities.

6. Intellectual Property

6.1 Your Content

You retain full ownership of all audio content you submit to the Service and all transcripts generated from your audio ("Your Content"). Speakyboo does not claim any ownership rights in Your Content. By using the Service, you grant Speakyboo a limited, non-exclusive, royalty-free license to process, transmit, and store Your Content solely to the extent necessary to provide the Service to you and as described in our Privacy Policy.

You represent and warrant that you have all necessary rights, licenses, and permissions to submit Your Content to the Service, and that Your Content does not violate any third-party rights or applicable laws.

6.2 Speakyboo Intellectual Property

The Service, including all software, algorithms, design elements, trademarks, trade names, logos, and all other content created by Speakyboo (excluding Your Content), is owned by Speakyboo and its licensors and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service or Speakyboo's intellectual property except for the limited license to use the Service as described herein.

7. Privacy and Data Handling

Your privacy is important to us. Our Privacy Policy, available at speakyboo.com/policies/privacy, describes how we collect, use, store, and share information about you and your use of the Service and is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of information as described in our Privacy Policy.

Audio data you submit to the Service is transmitted to our AI processing infrastructure for the purpose of generating transcriptions. Raw audio files are not permanently stored by Speakyboo after transcription is complete. Transcript text is stored in your account and subject to the retention periods described in our Privacy Policy and Data Retention Policy.

8. Third-Party Services

The Service relies on and integrates with third-party services including, without limitation, AI language processing providers, cloud infrastructure providers, and payment processors. Your use of the Service is also subject to the terms and policies of these third parties. Speakyboo is not responsible for the acts or omissions of third-party service providers.

The Service may contain links to third-party websites or resources. These links are provided for convenience only. Speakyboo has no control over the content, privacy policies, or practices of any third-party sites and accepts no responsibility for them.

9. Disclaimers of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEAKYBOO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPEAKYBOO DOES NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) TRANSCRIPTION ACCURACY WILL MEET ANY PARTICULAR STANDARD; OR (E) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SPEAKYBOO SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPEAKYBOO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SPEAKYBOO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEAKYBOO'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO SPEAKYBOO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above limitations may not apply to you in their entirety. In such jurisdictions, Speakyboo's liability will be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Speakyboo, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms;
Your use of the Service, including any content you submit;
Your violation of any applicable law or regulation;
Your infringement of any third-party rights, including intellectual property rights or privacy rights;
Any claim that Your Content caused damage to a third party.

Speakyboo reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with Speakyboo in asserting any available defenses.

12. Termination

You may terminate your account at any time by contacting support@speakyboo.com or through your account settings. Upon termination, your right to use the Service will immediately cease.

Speakyboo may suspend or terminate your account, with or without notice, for any reason, including but not limited to: your violation of these Terms, fraudulent or illegal activity, non-payment of fees, or if we cease to offer the Service. Upon termination initiated by Speakyboo for cause (such as a violation of these Terms), no refund will be issued for any prepaid subscription fees.

Following termination of your account for any reason, your transcript data may be retained for up to 30 days to allow you to request an export, after which it will be permanently deleted in accordance with our Data Retention Policy.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Florida for the resolution of any disputes arising out of or relating to these Terms or the Service.

BEFORE INITIATING ANY FORMAL LEGAL PROCEEDINGS, YOU AGREE TO CONTACT SPEAKYBOO AT support@speakyboo.com AND ATTEMPT IN GOOD FAITH TO RESOLVE ANY DISPUTE INFORMALLY FOR A PERIOD OF AT LEAST 30 DAYS.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SPEAKYBOO.

14. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email to the address associated with your account or by displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

15. General Provisions

These Terms, together with our Privacy Policy, Data Retention Policy, and any other policies incorporated by reference herein, constitute the entire agreement between you and Speakyboo with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver by Speakyboo of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition.

Speakyboo may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations under these Terms to any third party without Speakyboo's prior written consent.

Results vary. No specific outcomes are guaranteed.
